Agreement to Terms

These Terms of Service ("Terms") govern the relationship between Editute ("Editute", "we", "us") and the institution, business, or individual ("you", "your", "Institution") that subscribes to or uses the Editute platform.

By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an institution, you represent that you have the authority to do so.

The Platform

Editute provides a white-label digital assessment, student-management, and performance-analytics platform designed for test-prep institutions, academies, and similar education businesses. The platform includes:

• Admin, teacher, and student portals
• Test creation and MCQ assessment management tools
• Question bank management
• Automatic grading and results delivery
• Student performance analytics and reporting
• White-label branding and custom domain configuration (Platinum plan)
• Hosting and infrastructure (where included in your plan)

Subscriptions & Billing

Plans

Editute offers the following plan types:

• Diamond: Monthly platform subscription plus a per-student / per-program charge.
• Platinum: Monthly platform subscription, per-student / per-program charge, plus a one-time white-label setup fee.
• Enterprise: Custom annual agreement scoped around your institution's requirements.

Payment

Subscription fees are due monthly (or as otherwise agreed). Per-student / per-program charges are calculated based on the number of active enrolments in the billing period. Editute will provide advance notice of any pricing changes with at least 30 days' notice.

Failure to pay may result in suspension of access to the platform. We will notify you before suspending access and provide a reasonable opportunity to cure any payment failure.

Refunds

Subscription fees are generally non-refundable except where required by applicable law. The one-time white-label setup fee is non-refundable once implementation work has commenced. Disputes should be raised within 30 days of the relevant invoice date.

Acceptable Use

You agree to use the platform only for lawful educational purposes. You must not:

• Use the platform to distribute unlawful, harmful, or deceptive content
• Attempt to reverse-engineer, copy, or reproduce any part of the platform
• Circumvent security measures or access controls
• Share access credentials or allow unauthorised access to your institutional account
• Use the platform in a way that violates the rights of students or third parties
• Resell, sublicense, or commercialise access to the platform without written permission

Your Institution's Responsibilities

As the institution using the platform, you are responsible for:

• The accuracy of content you upload (questions, assessments, student records)
• Ensuring students and teachers have appropriate consent to use the platform
• Complying with applicable data-protection and educational laws in your jurisdiction
• Maintaining the security of your admin, teacher, and student accounts
• Any content or communications sent to students through the platform

Intellectual Property

Editute retains all intellectual property rights in the platform, including its code, design, interfaces, and infrastructure. Your institution retains ownership of all content you upload - including question banks, assessments, and student data.

You grant Editute a limited licence to host and process your content solely to provide the services described in these Terms.

White-Label & Branding

Platinum plan subscribers receive a white-label implementation. You grant Editute permission to use your institution's name, logo, and branding assets solely to deliver your branded platform experience. Editute does not claim ownership of your brand assets.

Uptime & Support

Editute aims to maintain high platform availability. Scheduled maintenance will be communicated in advance where possible. We do not guarantee 100% uptime and are not liable for brief outages caused by infrastructure providers or events outside our control.

Technical support is available via email during business hours. Enterprise agreements may include enhanced support terms.

Limitation of Liability

To the maximum extent permitted by law, Editute's liability to your institution for any claim arising from these Terms or the use of the platform is limited to the fees paid by your institution in the three months preceding the claim.

Editute is not liable for indirect, consequential, or incidental losses, including loss of student data, loss of revenue, or reputational harm, even if advised of the possibility of such losses.

Termination

Either party may terminate these Terms with 30 days' written notice. Editute may terminate immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

Upon termination, you will have a 90-day window to export your institutional data. After that period, your data will be permanently deleted in accordance with our Data Deletion Policy.

Governing Law

These Terms are governed by the laws of Pakistan (or the jurisdiction agreed upon in your specific institutional agreement). Any disputes that cannot be resolved amicably will be referred to the courts of that jurisdiction.

Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify institution administrators with at least 14 days' notice before the changes take effect. Continued use of the platform after the effective date constitutes acceptance.
